The short version
- Unspent is a record of money you decided not to spend. It does not move money yet. Moving it is what we are building towards, and it will arrive with its own agreement rather than quietly.
- Earning the displayed yield requires joining the waitlist, connecting a bank account and moving funds when bank connections become available. Recording an amount alone does not earn yield. Unspent is not a bank or financial advice, and no recorded amount is insured because it is not money we hold.
- You need to be 18, and you are responsible for what you do with your account.
- Your private ledger remains yours. In a challenge, the display name you choose, your challenge total and progress, and the descriptions and exact amounts of challenge-linked entries are shared with that challenge’s members.
- You can stop at any time, and so can we, and neither of us owes the other money.
1. The agreement
These terms are between you and Meanwhile Agency LLC (“Meanwhile”, “we”, “us”), of 44 Montgomery Street, San Francisco, CA 94104, United States. They govern the Unspent iOS app, this website, and the service behind them. By creating an account or using either, you accept them. If you do not, don’t use Unspent. Our privacy policy is part of this agreement.
2. What Unspent is today, and what it is becoming
Unspent lets you record an amount you were about to spend and did not, choose a plan length, and see what that amount would grow to at the rate shown when you saved it. At this stage it does not move money. No bank account or card is connected to the app, and we do not currently hold, receive, invest or have custody of your funds.
That is where the product is, not where it is going. Holding and growing real money is what Unspent is being built to do, and we are in active discussions with regulated partners to provide it. The app’s displayed yield is conditional: you must join the waitlist, connect a bank account and move funds when bank connections become available. Recording an amount alone earns nothing. Until funds move under the savings partner’s agreement, figures in the app are projections rather than an account balance, and no displayed rate is an offer.
When money movement does arrive it will not arrive quietly. It will involve a regulated financial institution; it will have its own agreement covering deposits, withdrawals, fees and what happens to your money if something goes wrong; and you will be asked to read and accept that before a single payment is taken. This document does not create that arrangement and does not stand in for it.
As things stand today we are not a bank, a credit union, a broker-dealer, an investment adviser or a money transmitter, and no balance shown in Unspent is deposit insured, because no balance shown in Unspent is money we hold. Nothing in the app or on this site is financial, tax or legal advice.
3. Who can use it
You need to be at least 18 and able to enter a contract, and you must use Unspent only where it is lawful to do so. One account per person. You may not use Unspent on behalf of anyone else without their authority.
4. Your account
You sign in with Apple or Google; we never hold a password for you. Keep control of the device and the sign-in account you use, because whoever holds those can see your history. Tell us at support@unspent.finance if you think someone else has reached your account.
You are responsible for what is recorded under your account, and for the accuracy of what you enter. We do not verify your entries: an amount you did not really decline to spend is a number you have chosen to write down.
5. Your content
The entries and notes you write stay yours. You give us the permission we need to store, process and display them back to you — that is, to run the product — and nothing wider than that: we do not publish them, sell them, or use them to advertise to you. Don’t put anything in a note that you have no right to share, and don’t use notes to store things like passwords or other people’s personal information.
The ledger keeps amounts, plans and rates append-only, which is a promise about honesty rather than about permanence: undoing an entry writes a reversal rather than erasing its financial history. You may correct an entry’s effective date, category and note without changing those fixed financial fields. You can still have all of it deleted — see the privacy policy.
If you create or join a challenge, you give us permission to show its active members the display name you choose, your individual challenge total and progress, and the category or note description and exact amount of entries linked to that challenge, including day and group totals derived from those entries. Your email and entries outside the challenge are not shared with members. You remain responsible for display names, challenge titles and entry descriptions you submit and must have the right to share them.
Challenge invitation URLs are bearer links. Anyone holding a live link may preview the invitation and attempt to join, so share it only with intended recipients. Invite links expire when the challenge ends. Leaving stops new entries from being linked while you are away; entries already linked remain in the shared challenge feed. You may rejoin with a valid invitation while the challenge is active.
Share images are generated locally. The native share sheet is operated by Apple and the destination you choose. Saving an image uses Photos add-only access; Unspent does not read your photo library.
6. Acceptable use
Don’t:
- break the law with it, or use it to launder money or to pretend to be someone else;
- attack it — no probing, scraping at volume, load you did not ask us about, reverse engineering beyond what the law allows you, or attempts to reach another person’s data;
- resell it, rent it out, or wrap it in a product of your own without our written agreement;
- use it to publish anything abusive, infringing or unlawful in a note.
- share an invitation publicly, or submit a challenge title, display name or linked entry description, in a way that harms another person or violates their rights.
Security research is welcome if it is careful and reported to us before it is published: write to security@unspent.finance.
7. Money, fees and changes to the product
Unspent is free to use today. There is no subscription and no fee, and if we ever introduce one you will be told before it applies to you and you will be able to stop instead.
The product is early. Features will change, appear and disappear; rates shown as illustrations will change; and we may suspend or discontinue parts of it. We will not do that to your recorded history without notice and a way to get a copy of it.
8. Our intellectual property
Unspent, its name, its mark, its design and its software are ours or our licensors’. Using the product gives you a personal, revocable, non-exclusive, non-transferable licence to use the app on devices you own or control, for your own non-commercial use, and nothing more. It does not give you the right to our name or our mark.
9. Ending it
You can stop using Unspent whenever you like, and ask us to delete your account. We may suspend or end your access if you break these terms, if we are required to, or if we discontinue the product — and other than for a serious breach, we will give you reasonable notice and a chance to get your data out. Sections that should outlive the agreement do: your content licence for anything already stored or shared with a challenge, the disclaimers, the liability limits and the law that governs us. Leaving a challenge stops new entries from being linked but does not remove entries already shared; deleting your account removes your membership and associated live account data as described in the privacy policy.
10. Disclaimers
Unspent is provided as is and as available. To the extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose, merchantability, accuracy and non-infringement. We do not warrant that the app will be uninterrupted, that its calculations will suit your circumstances, or that a figure it shows will be achievable in a real product.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you, and nothing here limits rights you have as a consumer that cannot be limited.
11. Liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost savings or lost data, arising out of your use of Unspent. Our total liability for any claim relating to Unspent is limited to the greater of the amount you paid us in the twelve months before the claim — which today is nothing — or one hundred United States dollars.
Nothing in this section excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.
12. Indemnity
If someone brings a claim against us because of how you used Unspent — breaking these terms, breaking the law, or infringing someone’s rights — you agree to cover the reasonable costs of dealing with it.
13. The law that applies
These terms are governed by and interpreted under the laws of the State of California, without giving effect to any principle that would apply the law of another jurisdiction, and disputes will be heard in the state and federal courts located in San Francisco County, California.
That is without prejudice to any right you have as a consumer to bring a claim in the courts where you live, and to the protection of any consumer law of your own country that cannot be set aside by agreement. Choosing California law does not take those from you.
14. Changes to these terms
We will update the date at the top when these terms change, and we will tell you in the app or by email before a material change takes effect. Continuing to use Unspent after that means you accept the new version; if you don’t, stop using it and ask us to close your account.
15. If you got the app from Apple’s App Store
This section applies to the iOS app, and is required by Apple. In it, “Application” means the Unspent app and “Licensor” means us.
- This agreement is between you and Licensor only, not with Apple. Apple is not responsible for the Application or its content.
- The licence granted in section 8 is limited to using the Application on Apple-branded products you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to furnish any maintenance or support for the Application.
- If the Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are Licensor’s responsibility.
- Licensor, not Apple, is responsible for addressing any claim by you or a third party relating to the Application or your possession and use of it, including product liability claims, any claim that the Application fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or privacy law.
- If a third party claims the Application infringes their intellectual property, Licensor, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting”, and that you are not on any U.S. Government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms of agreement when using the Application.
- Apple and Apple’s subsidiaries are third-party beneficiaries of this agreement, and upon your acceptance, Apple will have the right to enforce it against you.
- For any question or complaint about the Application, including support, write to support@unspent.finance.
16. Everything else
If a provision of these terms is unenforceable, the rest still stands. Not enforcing something once does not waive it. You may not transfer this agreement; we may transfer it to a company that takes over the product, on these same terms. These terms, plus the privacy policy, are the whole agreement between us about Unspent.
